Welcome to RiseNWA. These Terms & Conditions (“Terms”) govern your use of our website, services, software, SMS/email tools, and any integrations we provide (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.

1. Service Description

RiseNWA provides review-generation automation, messaging tools, and integrations that help local businesses request and manage online reviews. Our Service may include SMS/email messaging, integrations with third-party platforms (such as Google Business Profile, Square, Stripe, and CRM tools), dashboards, and automation workflows.

We act only as a technology provider. Businesses determine how they use the system and what messages they send through it.

2. Eligibility

You must be at least 18 years old to use the Service.

3. SMS & Email Communications

By submitting your phone number or email, you consent to receive automated or manual messages related to onboarding, account notifications, trial details, and review-request communications.

• Standard message/data rates may apply.
• You may opt out at any time by replying STOP (SMS) or clicking unsubscribe (email).
• You are responsible for ensuring your customers have provided appropriate consent before you send them SMS/email communications through our system.

4. Client Responsibilities

You agree to:

• Use the platform in compliance with SMS laws, TCPA, CAN-SPAM, review platform rules, and all applicable laws.
• Only upload or submit customer contact information you have legally obtained.
• Not incentivize reviews in ways that violate Google’s or any platform’s guidelines.
• Ensure review requests sent through RiseNWA are truthful, non-misleading, and compliant.

RiseNWA is not responsible for misuse of messaging tools or unlawful review-solicitation practices conducted by clients.

5. Integrations with Third-Party Providers

RiseNWA may connect to platforms including, but not limited to:
• Google Business Profile
• Square
• Stripe
• Zapier
• Social media platforms
• Email/SMS providers (e.g., Twilio)

Your use of any integration is also governed by the terms of those third-party providers. RiseNWA is not responsible for service disruptions, outages, or data handling performed by third-party platforms.

6. Payments & Billing

All subscription fees, paid plans, or pay-per-performance pricing follow the billing terms presented during checkout. Charges are billed to the payment method you provide. You authorize RiseNWA or its payment processor (e.g., Stripe) to charge your account for all applicable amounts.

Refunds are not guaranteed and are considered on a case-by-case basis.

7. Prohibited Conduct

You may not:
• Attempt to hack, bypass, reverse engineer, or misuse the platform
• Send harmful, unlawful, or fraudulent messages
• Upload anyone’s data without consent
• Attempt to manipulate or fabricate online reviews
• Use messaging tools for harassment or spam

8. Intellectual Property

All logos, branding, software processes, automations, content, and materials are owned by RiseNWA and may not be copied or reproduced without permission.

9. Disclaimers

RiseNWA is not affiliated with or endorsed by Google™, Meta™, Facebook™, Instagram™, or any other review platform. All trademarks belong to their respective owners.

We do not guarantee any specific number of reviews, ratings, search rankings, or business outcomes. Results vary based on customer participation and business activity.

10. Limitation of Liability

To the fullest extent permitted by law:
• RiseNWA’s total liability for any claim is limited to the amount paid to RiseNWA in the past 12 months.
• RiseNWA is not responsible for lost revenue, lost business, data loss, or any indirect or consequential damages.

11. Indemnification

You agree to indemnify and hold RiseNWA harmless from claims arising out of:
• Your use of the Service
• Your use of customer contact data
• SMS/email messages you send
• Violations of review-platform guidelines

12. Governing Law

These Terms are governed by the laws of the State of Arkansas.

13. Changes to These Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance.
